A company used to be founded with two documents that together comprise its constitution; a Memorandum of Association and Articles of Association.

These documents will let anyone dealing with the company know what the powers and limitations of the directors and the company owners are.

There have been significant changes to the format and content of a company’s constitution in recent years following the introduction of the Companies Act 2006 and new companies no longer need a Memorandum of Association.
