Corporate governance is the system by which companies are directed and controlled.

It refers to a system of checks and balances between the company’s directors, the management and the shareholders. Good corporate governance entails the directors being aware of their duties (set out in the Companies Act 2006) which encourage them to act responsibly, to be fully accountable to the company, to show transparency in their decision-making and to exercise fairness in their treatment of all shareholders.
